These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Tanelt Technologies, Inc. ("Tanelt," "we," "us," or "our") regarding your access to and use of the Tanelt website, AI-powered customer support solutions, and related services (collectively, the "Services").", "By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy. Billing Cycle: Unless otherwise stated, subscription fees are billed in advance on a monthly or annual basis, depending on the subscription plan you select.

Auto-Renewal: Your subscription will automatically renew at the end of each billing cycle unless you cancel it before the renewal date. By subscribing, you authorize us to charge your payment method for the subscription fees at the beginning of each billing cycle.

Cancellation: You may cancel your subscription at any time through your account settings or by contacting our support team. If you cancel, you will continue to have access to the Services until the end of your current billing cycle, but you will not receive a refund for any fees already paid.

Fee Changes: We may change our subscription fees at any time. If we do so, we will provide notice of the change through the Services or by email at least 30 days before the change takes effect. Your continued use of the Services after the fee change takes effect constitutes your agreement to pay the updated fees.

When using our Services, you agree not to:

• Use the Services for any illegal purpose or in violation of any local, state, national, or international law;

• Violate or encourage others to violate the rights of third parties, including intellectual property rights;

WITHOUT LIMITING THE FOREGOING, TANELT EXPLICITLY DISCLAIMS ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, QUIET ENJOYMENT, OR NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.", "We do not warrant that the Services will meet your requirements or be available on an uninterrupted, secure, or error-free basis. TO THE MAXIMUM EXTENT PERMITTED BY LAW, TANELT AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (i) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES; (ii) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES; (iii) ANY CONTENT OBTAINED FROM THE SERVICES; AND (iv) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.

IN NO EVENT SHALL OUR AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS RELATED TO THE SERVICES EXCEED THE AMOUNT PAID BY YOU TO TANELT FOR THE SERVICES DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

You agree to defend, indemnify, and hold harmless Tanelt and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Services, including, but not limited to, your User Content, any use of the Services' content, services, and products other than as expressly authorized in these Terms.

We reserve the right to modify these Terms at any time. If we make material changes to these Terms, we will notify you by email or through the Services before the changes become effective.

Your continued use of the Services after the effective date of any changes constitutes your acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Services.

We may suspend or terminate your access to the Services, including your account, at any time for any reason without notice or liability, including if you violate these Terms.

You may terminate these Terms by canceling your account and discontinuing use of the Services.

Upon termination, your right to use the Services will immediately cease. The following provisions will survive termination: Intellectual Property Rights, Disclaimer of Warranties, Limitation of Liability, Indemnification, and any other provision that by its nature should survive termination.

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions.

Any dispute arising from or relating to these Terms or the Services shall be resolved through binding arbitration in San Francisco, California, in accordance with the rules of the American Arbitration Association. The arbitration shall be conducted by a single arbitrator, and judgment on the award may be entered in any court of competent jurisdiction.

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief to prevent the actual or threatened infringement, misappropriation, or violation of that party's intellectual property rights in any court of competent jurisdiction.

Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Tanelt regarding the Services and supersede all prior agreements and understandings, whether written or oral.

Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

Severability: If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

Assignment: You may not assign or transfer these Terms, by operation of law or otherwise, without our prior written consent. Any attempt to assign or transfer these Terms without our consent shall be null and void. We may assign or transfer these Terms, at our sole discretion, without restriction.

Notices: Any notices or other communications provided by us under these Terms will be given by posting to the Services or by email to the address you provide during registration.

Force Majeure: We will not be liable for any delay or failure to perform resulting from causes outside our reasonable control, including, but not limited to, acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes or shortages of transportation facilities, fuel, energy, labor or materials.
