These Terms of Service constitute a legally binding agreement between you and Tanelt regarding your use of our AI-powered customer support solutions.

Subscription terms are based on your selected plan, with automatic renewals unless canceled before the renewal date.

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

By using our services, you agree to comply with all applicable laws and our Acceptable Use Policy.

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Tanelt Technologies, Inc. ("Tanelt," "we," "us," or "our") regarding your access to and use of the Tanelt website, AI-powered customer support solutions, and related services (collectively, the "Services").", "By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use the Services.

2. Eligibility

You must be at least 18 years old and able to form a legally binding contract to use our Services. By using our Services, you represent and warrant that you meet these requirements.

If you are using the Services on behalf of a company, organization, or other entity, you represent and warrant that you have the authority to bind that entity to these Terms, and you agree to be bound by these Terms on behalf of such entity.

3. Account Registration

To use certain features of our Services, you may need to create an account. When registering for an account, you must provide accurate and complete information.

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

We reserve the right to suspend or terminate your account if any information provided during the registration process or thereafter proves to be inaccurate, false, or misleading, or if you fail to comply with these Terms.

4. Subscription and Payment Terms

Subscription Plans: We offer various subscription plans for our Services. The features, limitations, and pricing of each plan are described on our website.

Billing Cycle: Unless otherwise stated, subscription fees are billed in advance on a monthly or annual basis, depending on the subscription plan you select.

Auto-Renewal: Your subscription will automatically renew at the end of each billing cycle unless you cancel it before the renewal date. By subscribing, you authorize us to charge your payment method for the subscription fees at the beginning of each billing cycle.

Cancellation: You may cancel your subscription at any time through your account settings or by contacting our support team. If you cancel, you will continue to have access to the Services until the end of your current billing cycle, but you will not receive a refund for any fees already paid.

Fee Changes: We may change our subscription fees at any time. If we do so, we will provide notice of the change through the Services or by email at least 30 days before the change takes effect. Your continued use of the Services after the fee change takes effect constitutes your agreement to pay the updated fees.

5. Acceptable Use

When using our Services, you agree not to:

• Use the Services for any illegal purpose or in violation of any local, state, national, or international law;

• Violate or encourage others to violate the rights of third parties, including intellectual property rights;

• Upload, transmit, or distribute any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable;

• Attempt to gain unauthorized access to any portion of the Services or any other systems or networks connected to the Services;

• Use the Services to send unauthorized advertising or promotional material, including junk mail, spam, or repetitive messages;

• Use the Services to develop a similar or competing product or service;

• Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code of the Services;

• Use the Services in any manner that could disable, overburden, damage, or impair the Services;

• Use any robot, spider, or other automatic device, process, or means to access the Services for any purpose;

• Introduce any viruses, Trojan horses, worms, logic bombs, or other malicious or technologically harmful material to the Services.

We reserve the right to monitor compliance with these restrictions and to take appropriate enforcement action, including suspending or terminating your access to the Services.

6. Intellectual Property Rights

9. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED. WITHOUT LIMITING THE FOREGOING, TANELT EXPLICITLY DISCLAIMS ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, QUIET ENJOYMENT, OR NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.", "We do not warrant that the Services will meet your requirements or be available on an uninterrupted, secure, or error-free basis. 10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TANELT AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (i) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES; (ii) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES; (iii) ANY CONTENT OBTAINED FROM THE SERVICES; AND (iv) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.

IN NO EVENT SHALL OUR AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS RELATED TO THE SERVICES EXCEED THE AMOUNT PAID BY YOU TO TANELT FOR THE SERVICES DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

11. Indemnification

You agree to defend, indemnify, and hold harmless Tanelt and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Services, including, but not limited to, your User Content, any use of the Services' content, services, and products other than as expressly authorized in these Terms.

12. Modifications to Terms

We reserve the right to modify these Terms at any time. If we make material changes to these Terms, we will notify you by email or through the Services before the changes become effective.

Your continued use of the Services after the effective date of any changes constitutes your acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Services.

13. Termination

We may suspend or terminate your access to the Services, including your account, at any time for any reason without notice or liability, including if you violate these Terms.

You may terminate these Terms by canceling your account and discontinuing use of the Services.

Upon termination, your right to use the Services will immediately cease. The following provisions will survive termination: Intellectual Property Rights, Disclaimer of Warranties, Limitation of Liability, Indemnification, and any other provision that by its nature should survive termination.

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions.

Any dispute arising from or relating to these Terms or the Services shall be resolved through binding arbitration in San Francisco, California, in accordance with the rules of the American Arbitration Association. The arbitration shall be conducted by a single arbitrator, and judgment on the award may be entered in any court of competent jurisdiction.

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief to prevent the actual or threatened infringement, misappropriation, or violation of that party's intellectual property rights in any court of competent jurisdiction.

15. General Provisions

Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Tanelt regarding the Services and supersede all prior agreements and understandings, whether written or oral.

Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

Severability: If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

Assignment: You may not assign or transfer these Terms, by operation of law or otherwise, without our prior written consent. Any attempt to assign or transfer these Terms without our consent shall be null and void. We may assign or transfer these Terms, at our sole discretion, without restriction.

Notices: Any notices or other communications provided by us under these Terms will be given by posting to the Services or by email to the address you provide during registration.

Force Majeure: We will not be liable for any delay or failure to perform resulting from causes outside our reasonable control, including, but not limited to, acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes or shortages of transportation facilities, fuel, energy, labor or materials.
